PREFACE TO THE SECOND EDITION.

In this second edition, the book has been practically rewrit ten. Many topics are now treated fully which were omitted or treated briefly in order to make the first edition available at the earliest possible moment. Some errors have also been corrected. It is hoped that practically every decided point relating to Massachusetts business corporations is now embodied in the text. Much historical material has been included, by way of explaining earlier statutes and decisions, and has been marked as such.

To remove a confusion found by some, in the first edition, between the section numbers of the book and the section numbers of the corporation act, the former have been abandoned. The chapters are now divided by capitals, numerals, and small letters; and, in the chapter covering the Act, the numerals are the section numbers of the Act itself. Other statutes relating to corporations are inserted under the sections of the Act to which their subject matter is most nearly related.

The forms have been considerably increased in number, and have been fully indexed. The citations include volume 194 of the Reports and the legislation of 1907.
